1. Parties
CloudPrint is provided by CAR SOLUTIONS NETWORK SPÓŁKA Z OGRANICZONĄ ODPOWIEDZIALNOŚCIĄ, Adama Branickiego 21/U3, 02-972 Warszawa, Poland. VAT/NIP: PL9512545150. KRS: 0000981090. REGON: 52255542600000.
"Customer" means the business, organization or person that creates an account, orders a plan, uses the API, installs the local agent or otherwise uses CloudPrint.
2. Acceptance and business use
By creating an account, using CloudPrint, installing the local agent, accessing the API or paying for a plan, Customer accepts these terms. If a person accepts these terms for an organization, that person confirms that they have authority to bind that organization.
CloudPrint is intended for business and professional use. The service is not intended for children or for personal household use.
3. Definitions
- Account: a CloudPrint workspace, user identity, client application or related access credential.
- Authorized User: a person or system Customer permits to use CloudPrint under Customer's account.
- Customer Data: data, documents, print jobs, printer metadata, settings and other content submitted to CloudPrint by or for Customer.
- Documentation: CloudPrint guides, API descriptions, examples, specifications and support materials.
- Local Agent: CloudPrint software installed on Customer-controlled computers or servers to connect local printers to CloudPrint.
- Services: CloudPrint's hosted platform, API, account UI, local agent, documentation and related functionality.
4. Access and licence
Subject to these terms, CloudPrint grants Customer a limited, non-exclusive, non-transferable, revocable right to access and use the Services during the active subscription or trial period for Customer's internal business printing workflows.
Customer may install and use the Local Agent only on systems Customer owns, controls or is authorized to administer. No ownership in CloudPrint software, source code, trademarks, infrastructure or documentation is transferred.
5. Customer responsibilities
Customer is responsible for:
- all activity by Authorized Users, integrations, API clients and local agents under Customer's account;
- keeping passwords, API credentials, tokens, printers, local networks and connected systems secure;
- ensuring that documents, print jobs and printer use are lawful and authorized;
- checking print output, printer selection, media, labels, paper, stock, copies and physical device behavior;
- maintaining Customer systems, operating systems, printer drivers, network access and printer hardware;
- using CloudPrint in accordance with Documentation, laws, these terms and any applicable order or plan limits.
6. Restrictions
Customer must not, and must not allow anyone else to:
- copy, modify, reverse engineer, decompile or attempt to extract source code except where law prevents this restriction;
- access CloudPrint to build, benchmark or train a competing service without written permission;
- sell, rent, sublicense, provide service-bureau access or redistribute CloudPrint except as expressly agreed in writing;
- circumvent plan limits, rate limits, billing controls, authentication, security or access controls;
- upload malware, exploit vulnerabilities, overload systems or interfere with CloudPrint or other customers;
- use CloudPrint for unlawful, deceptive, harmful, infringing or unauthorized printing or data processing.
7. API, integrations and local agent
CloudPrint may change API behavior, add or remove endpoints, update schemas, enforce rate limits and require Local Agent updates where reasonably needed for security, reliability, compatibility or product development. We aim to document material changes, but Customer is responsible for testing its own integrations.
The Local Agent runs in Customer's environment. Customer is responsible for granting only the permissions needed, keeping the host updated and ensuring that printers exposed to CloudPrint may be used for the intended jobs.
8. Fees, taxes and billing
Fees, plan limits, billing periods and usage charges are set out in the applicable order, account checkout, pricing page or written agreement. Fees are exclusive of taxes unless stated otherwise. Customer is responsible for all applicable taxes, duties and similar charges except taxes on CloudPrint's income.
CloudPrint may suspend or restrict access for unpaid amounts, failed payment, chargebacks, suspected fraud, plan abuse or material breach. Trials, previews, beta features and free functionality may be limited, changed or discontinued at any time.
9. Customer data and data protection
Customer retains ownership of Customer Data. Customer grants CloudPrint the rights needed to host, transmit, process, troubleshoot, secure and support Customer Data for the Services.
The Privacy Policy explains controller data handling. Where CloudPrint processes personal data as Customer's processor, the Data Processing Agreement applies. Customer is responsible for the content, legality, accuracy and quality of Customer Data and for instructions given to CloudPrint.
10. Third-party systems and printers
CloudPrint depends on Customer systems, internet connections, operating systems, print queues, drivers, printer firmware, physical media, vendor services and third-party providers. CloudPrint is not responsible for failures, delays, defects, output differences or data loss caused by those systems, by Customer configuration or by printer behavior outside our control.
11. Intellectual property
CloudPrint and its licensors retain all rights in the Services, software, documentation, names, logos, templates, examples, APIs and platform. Customer may use CloudPrint marks only with written permission.
Customer may provide feedback. CloudPrint may use feedback without restriction or payment, provided we do not identify Customer publicly without permission.
12. Confidentiality
Each party may receive non-public business, technical or operational information from the other party. The receiving party must use confidential information only to perform these terms and protect it with reasonable care. This does not apply to information that is public, already known, lawfully received from a third party or independently developed.
13. Warranties and disclaimers
CloudPrint will provide the Services with reasonable skill and care. Except as expressly stated, the Services, software, documentation, APIs, trials, previews and beta features are provided "as is" and "as available".
To the maximum extent permitted by law, CloudPrint does not warrant that the Services will be uninterrupted, error-free, vulnerability-free, fit for a particular purpose, compatible with every printer or integration, or that any document will print exactly as expected on Customer's devices.
14. Liability
Nothing in these terms excludes or limits liability that cannot be excluded or limited by law, including liability for fraud, intentional misconduct or death or personal injury caused by negligence where applicable.
To the maximum extent permitted by law, CloudPrint is not liable for indirect, incidental, special, punitive or consequential loss, loss of profit, revenue, business, goodwill, anticipated savings, data, documents, print output, production time or third-party claims arising from Customer's use of the Services.
Subject to the exclusions above, CloudPrint's total aggregate liability arising out of or relating to the Services is limited to the fees Customer paid to CloudPrint for the affected Services during the three months before the event giving rise to liability, or EUR 100 if Customer used only free, trial or unpaid Services.
15. Suspension and termination
Either party may terminate according to the applicable order or written agreement. CloudPrint may suspend or terminate access immediately where Customer breaches these terms, fails to pay, creates security or legal risk, misuses the Services, exceeds plan limits, becomes inactive on a free plan or uses CloudPrint in a way that may harm CloudPrint, other customers or third parties.
On termination, Customer must stop using the Services and pay all outstanding amounts. Provisions that by their nature should survive termination continue, including payment obligations, confidentiality, intellectual property, data protection, disclaimers, liability limits and dispute provisions.
16. Governing law and disputes
These terms are governed by the laws of Poland, excluding conflict-of-law rules. The courts competent for Warsaw, Poland have jurisdiction, unless mandatory law requires another forum.
17. Changes
CloudPrint may update these terms from time to time. The current version is published on this page. Material changes will apply prospectively unless a change is required sooner for security, legal compliance or service continuity.
